(collectively, the “Applicants” or the “Companies”)

On March 4, 2025, World Wide Carriers Ltd. (the “Company“) filed a Notice of Intention to Make a Proposal (“NOI”) under Section 50.4 of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3, as amended (the “BIA”), and B. Riley Farber Inc. (“B. Riley Farber“) was appointed as proposal trustee in the Companies’ NOI proceedings (in such capacity, the “Proposal Trustee”).

The NOI filing provides for a stay of proceedings against the Company, pursuant to s. 69(1) of the BIA, subject to certain limitations, while the Company formulates a restructuring plan and attempts to develop a viable proposal for its creditors.

Status Updates

On March 19, 2025, the Applicants sought and obtained an initial order (the “Initial Order”) under the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”). The Initial Order declares that effective March 19, 2025, the NOI proceeding is hereby taken up and continued under the CCAA and that, as of such date, the provisions of the BIA shall have no further application to WWC, save that any and all steps, agreements and procedures validly taken, done or entered into by WWC shall remain valid and binding, notwithstanding the commencement of these CCAA proceedings. B. Riley Farber Inc. was appointed as Monitor (“the Monitor”) of the Applicants.

The Initial Order provides, among other things, a stay of proceedings until March 28, 2025 (the “Stay Period”) and may be extended by the Court from time to time.

On March 28, 2025, the Ontario Superior Court of Justice (Commercial List) (the “Court“) issued an Amended and Restated Initial Order (“ARIO“) which extends the stay of proceedings up to and including June 15, 2025.
