1154944 Ontario Inc. (formerly dba AmbuTrans Inc.) (“AmbuTrans”) is an Ontario incorporated company that provides medical transportation services.
AmbuTrans filed a Notice of Intention to Make a Proposal (“NOI”) pursuant to the provisions of the Bankruptcy and Insolvency Act (“BIA”) on November 25th, 2011, and B. Riley Farber Inc. (“B. Riley Farber”) was appointed as Proposal Trustee.
The filing of the NOI provided an initial 30-day stay of proceedings overall amounts owing to creditors effective November 25th, 2011, (i.e. all amounts outstanding at November 25th, 2011, and prior) while the Company formulated a Proposal to its creditors.
Status Updates
On Friday, December 16, 2011, AmbuTrans was granted an Order by the Court that:
i) approved the Company’s request for a 45-day extension to file a proposal; and
ii) authorized B. Riley Farber, as Proposal Trustee, to conduct a sales process on behalf of the Company whereby the Company’s assets, property and undertaking would be offered for sale. The deadline for interested parties to submit an offer was Wednesday, January 18, 2012.
The Proposal Trustee received one (1) offer by the Bid Deadline from a related party. In its report to the Court following the Sales Process, the Proposal Trustee recommended that this offer and subsequent Asset Purchase Agreement be approved as it provided an overall benefit to the creditors and employees of AmbuTrans. On January 31, 2012, the Court approved the sale of the assets, property and undertaking of AmbuTrans.
AmbuTrans failed to file a Proposal with the Trustee on or before February 8, 2012, and as such is deemed to have made an assignment in bankruptcy effective February 9, 2012. The Bankruptcy Notice to Creditors has been mailed to all known creditors.
On February 8, 2012, AmbuTrans Inc. filed articles of amendment with the Ontario Ministry of Government Services to change its legal name to 1154944 Ontario Inc.
On September 28, 2017, B. Riley Farber obtained an Order Discharging Trustee and closed this matter.
