DMCC et al.

By an Order of the Honourable Madam Justice Kimmel of the Ontario Superior Court of Justice (Commercial List) with the effective date of April 19, 2023, signed and entered on May 29, 2023 (the “Appointing Order“), B. Riley Farber Inc. (“B. Riley Farber“) was appointed receiver (the “Receiver“), without security, of all the assets, undertakings and properties of (1) DMCC Management 1, Inc., a corporation incorporated in Ontario (the “Administrator” or “DMCC CA“), (2) DMCC Management 1, Inc., a corporation incorporated in Florida (the “General Partner” or “DMCC US“), and (3) DMCC Americas Inc. (“DMCC Americas“)(collectively, the “Debtors“), pursuant to section 101 of the Courts of Justice Act, R.S.O. 1990 c. C.43, as amended (the “CJA“).

As disclosed in the Receiver’s First Report dated July 6, 2023, without knowledge of the Court, the Receiver or the Plaintiffs, on May 23, 2023, Chapter 11, subchapter 5 proceedings were commenced in Florida by the following DMCC Entities:

i) DMCC Americas Inc.;

ii) DMCC Management 1, LLC;

iii) DMCC 450 Charles Court, LLC; and

iv) DMCC 7347 Ridge Road, LLC

On November 14, 2023, the United States Bankruptcy Court dismissed the Chapter 11 cases for DMCC 450 Charles Court, LLC and DMCC 7347 Ridge Road, LLC and copies of these orders can be found below.
