Lighthouse Immersive Inc. (“LHI”) And Lighthouse Immersive USA, Inc. (“LHI USA”) (collectively, the “Companies”)
On July 27, 2023, the Companies sought and obtained an initial order (the “Initial Order”) under the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”). The Initial Order provides, among other things, a stay of proceedings until August 6, 2023 (the “Stay Period”) and may be extended by the Court from time to time. The Companies will be seeking an extension of the Stay Period at a hearing scheduled for August 3, 2023. Pursuant to the Initial Order, B. Riley Farber Inc. was appointed as Monitor (the “Monitor”) of the Companies. Copies of the various orders, application materials and Monitor’s Reports in these CCAA Proceedings are included below.
Status Updates
On August 3, 2023, the Companies sought and obtained an amended and restated initial order (the “Amended and Restated Initial Order”), that, among other things, extended the stay of proceedings in favour of the Companies through October 6, 2023.
On October 6, 2023, the Companies sought and obtained an order, that, among other things, extended the stay of proceedings in favour of the Companies through December 8, 2023.
On October 13, 2023, the Companies sought and obtained an order (the “SISP Order”), that, among other things, approved the Companies’ sale and investment solicitation process (the “SISP”) to solicit interest in a restructuring, recapitalization or other form of reorganization of the business operations and affairs of the Companies (the “Opportunity”). The SISP Order also approved the Stalking Horse Agreement between the Companies and SCS Finance, Inc., dated October 5, 2023.

On November 27, 2023, the Companies sought and obtained an order (the “Approval and Vesting Order“) that, among other things, approved the sale transaction (the “Transaction“) contemplated by a stalking house agreement (the “Stalking Horse Agreement“).

On December 8, 2023, the Companies sought and obtained an order (the “CCAA Termination Order“) that, among other things, discharges the Monitor from its duties in the CCAA proceedings effective at the CCAA Termination Time.
