1510610 Ontario Inc. o/a Central Welding & Iron Works

On September 5, 2024, 1510610 Ontario Inc. o/a Central Welding & Iron Works (the “Company“) filed a Notice of Intention to Make a Proposal (“NOI”) under Section 50.4 of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3, as amended (the “BIA”), and B. Riley Farber Inc. (“B. Riley Farber) was appointed as proposal trustee in the Companies’ NOI proceedings (in such capacity, the “Proposal Trustee”).

Status Updates

On October 4, 2024, the Ontario Superior Court of Justice (Commercial List) (“Court“) issued an order approving , among other things, the time for filing a proposal by the Company be extended by a period of 45 days up to and including November 18, 2024.

Sale and Solicitation Process (“SISP”)

B. Riley Farber is authorized by the Court to implement a SISP for the Company and certain assets of its parent company, Autogene Industries North Bay Inc. The Bid Deadline is January 15, 2025 And other details are available in the Stay Extension and SISP Approval Order dated November 15, 2024, as attached below. On December 20, 2024, the Court issued an order approving, among other things, the time for filing a proposal by the Company be extended by a period of 45 days up to and including February 14, 2025.

Bankruptcy

The Company failed to file a Proposal with the Proposal Trustee on or before February 14, 2025, resulting in the Company being deemed to have made an assignment in bankruptcy on February 15, 2025. The Proposal Trustee was appointed as Trustee (the “Trustee“) of the Estate of the Bankrupt by the Official Receiver, subject to affirmation by the creditors of the Trustee’s appointment.
